New deal, same concert chaos
Kustom Entertainment just said it signed a definitive Unit Purchase Agreement to acquire 100% of TFL, LLC, better known as Tickets For Less. Translation: the company wants to stitch together its music festival platform with a ticketing and distribution engine so it can own more of the live-event value chain instead of handing the good bits to someone else.
Why investors are paying attention
This is the classic roll-up playbook with a live-music twist. Kustom says the deal should be immediately accretive to revenue, earnings, and adjusted EBITDA, which is corporate-speak for “we think this won’t be a cute experiment.” If it works, the company could turn one business that makes events and another that sells access into a more self-contained machine.
What could matter next
A few things to watch:
- integration risk, because buying a platform is easy on a slide deck and harder in real life
- whether the ticketing tech actually drives more margin, not just more topline
- how fast Kustom can blend festivals, distribution, and live-event tech without tripping over its own shoelaces
Big picture: Kustom is trying to become less of a one-trick festival story and more of an all-in-one live entertainment platform. That’s a nice pitch — now comes the part where they have to prove it.
