Ondas just bought itself a bigger defense brain
Ondas Inc. is buying GATE Technologies Ltd. and Bron Technologies for $205 million upfront, plus up to another $185 million in performance-based earn-outs through 2028. Translation: this isn’t a casual cart-at-the-checkout purchase. It’s a serious bet that precision-strike and autonomous defense tech can be stitched into a bigger business.
The company says it’s paying $105 million in cash and $100 million in Ondas stock, with about $22.5 million of that stock set to be issued within nine months of closing if conditions are met. If the earn-out gets paid, Ondas can choose cash or stock — which is corporate speak for “we’d like to keep our options open while hoping the numbers cooperate.”
Why investors may actually care
This deal gives Ondas more than just shiny new hardware. GATE’s electronic safe-and-arm devices and advanced fuzing systems have already been plugged into missiles, rockets, unmanned aerial vehicles, and loitering munitions. Bron brings manufacturing and certification chops in Europe, including production in Poland, which is handy when defense customers want supply chains that don’t feel like they were assembled in a panic.
Ondas says the acquired business could generate more than $130 million in adjusted EBITDA through 2028, while GATE alone is expected to bring in $65 million in revenue in 2026 and $180 million by 2028. That’s the kind of roadmap investors love — assuming execution doesn’t wander off and lose its keys.
The bigger picture
Ondas says it also plans to build U.S. engineering, integration, and production capabilities, with U.S.-produced finished products and integrated systems expected in the first half of 2027. That could matter a lot if defense spending keeps tilting toward drones, loitering munitions, and autonomous systems.
Big picture: this is Ondas trying to turn itself from a niche player into a broader defense-tech platform. If it works, the deal could look like growth with extra armor. If it doesn’t, well, $205 million is a pricey reminder that acquisitions don’t come with cheat codes.
