Brussels says “fine, but…”
Kimberly-Clark and Kenvue just got a big regulatory thumbs-up from the European Commission for their roughly $40 billion tie-up. That’s the EU’s way of saying the deal can move forward — but not before the companies make sure competition doesn’t get squished like a half-open travel shampoo bottle.
The tampon-market plot twist
Brussels had been worried the deal could reduce competition in tampon markets in Czechia, Estonia, and Slovakia. Apparently, that was enough to send regulators down the aisle of feminine-hygiene antitrust scrutiny, which is not where most people expected this love story to go.
The commission said the sale fully addresses its earlier concerns, so the transaction now has one fewer hurdle. That matters because cross-border megadeals can live or die on these approvals, and every extra day of delay gives investors a new excuse to sweat the spread.
Why you should care
For Kenvue holders, this is another box checked on the way to a potential deal close. For Kimberly-Clark shareholders, it means the company is still navigating the regulatory maze with a giant, expensive cart.
Big picture: the deal isn’t done-done, but it just got a lot less likely to trip over EU red tape.
