Deal drama, now with lawyers
Brodsky & Smith says it’s investigating Pacira BioSciences’ board over the company’s proposed sale to Viatris for $36.50 per share in cash, a deal that values Pacira at about $1.65 billion.
That’s lawyer-speak for: “Was this process fair, and did shareholders get a decent price?” If the answer looks shaky, the merger can get a lot messier than a simple handshake and a press release.
Why investors should care
This isn’t just courtroom popcorn. Shareholder investigations like this can:
- pile on legal costs
- create headline risk around the transaction
- pressure boards to disclose more or tweak deal terms
- spook traders who were counting on a smooth closing
For Viatris, the issue is mostly about deal execution. For Pacira holders, it’s about whether the cash offer reflects the company’s true value — or whether someone left money on the table.
The big picture
M&A doesn’t end when the headline drops. Sometimes that’s when the real waiting game starts. And in biotech/pharma land, where valuation debates are basically a contact sport, shareholder lawyers rarely stay on the bench for long.
