Another day, another deal gets a lawyer microscope
Kahn Swick & Foti says it’s investigating the proposed sale of Pacira BioSciences to Viatris, with the big question being the usual M&A soap-opera combo: was the price fair, and did the process actually maximize value for shareholders?
Under the deal, Pacira holders are set to receive $36.50 in cash per share. That’s the kind of number that looks crisp on a press release and immediately invites a second look from shareholder lawyers, because apparently no acquisition can just be a straightforward handshake anymore.
Why investors should care
This doesn’t automatically mean the deal is in danger. But shareholder investigations can:
- add legal costs
- spark more lawsuits
- pressure boards to disclose more details
- sometimes push buyers to sweeten terms if enough chatter builds
For Viatris, this is the price of doing business in takeover land. For Pacira holders, it’s a reminder that the final chapter of a sale process often includes a few extra plot twists.
Big picture
The transaction is still about the same thing it was yesterday: Viatris wants Pacira, and Pacira shareholders want to know whether $36.50 is the best they can get. The lawyers are just making sure everyone rereads the fine print.
